The Customer shall ensure that all Authorised Users comply with these Terms and shall be responsible for all acts and omissions of Authorised Users as if they were the acts and omissions of the Customer.

Wionic reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, provided that Wionic shall use commercially reasonable efforts to provide at least thirty (30) days' advance written notice of any material changes. Where a material change materially and adversely affects the Customer's use of the Services, the Customer may terminate its subscription within thirty (30) days of such notice and receive a pro-rata refund of any prepaid fees.
4. Accounts and Security
To access the Services, the Customer must create an account and provide accurate, complete, and current account information. The Customer shall promptly update account information to keep it accurate and complete.
The Customer is solely responsible for maintaining the confidentiality and security of its account credentials and for all activities that occur under its account. Wionic shall not be liable for any loss or damage arising from the Customer's failure to comply with the security obligations in this Clause 4.
Each account is for a single legal entity. Sharing account credentials across separate legal entities is not permitted without Wionic's prior written consent.
You must be at least eighteen (18) years old to create an account or use the Services. By registering, you confirm that you meet this requirement. Wionic may suspend or delete any account it reasonably believes belongs to a person under this age.
Acceptance of these Terms is recorded at registration, together with the version of these Terms accepted and the date of acceptance.
5. Fees, Billing, and Payment
The Customer shall pay the fees applicable to its selected Subscription Plan as set out on the Wionic pricing page, as may be updated from time to time in accordance with Clause 5.6.
For monthly billing, fees are due and payable in advance at the beginning of each calendar month. For annual billing, fees are due and payable in advance at the beginning of each annual subscription period.
All fees are non-refundable except as expressly set out in these Terms or as required by applicable law. Where a Customer is entitled to a refund, the refund shall be processed within fourteen (14) business days.
If any payment is overdue by more than fourteen (14) days, Wionic reserves the right to: (a) charge interest on the overdue amount at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower; (b) suspend the Customer's access to the Services until all outstanding amounts are paid; (c) terminate the Customer's account in accordance with Clause 12.
All fees are exclusive of applicable taxes, including sales tax, VAT, GST, or withholding tax. The Customer is responsible for paying all such taxes arising in connection with its use of the Services.
Wionic may adjust its fees by providing at least sixty (60) days' written notice to the Customer. Fee adjustments shall take effect at the start of the next subscription renewal period. If the Customer does not accept the new fees, it may terminate its subscription prior to the renewal date without penalty, subject to Clause 12.2.
6. Customer Data and Candidate Data
The Customer retains all ownership of Customer Data. The Customer grants Wionic a limited, non-exclusive licence to process Customer Data solely for the purpose of providing the Services and as otherwise set out in these Terms and the Privacy Policy.
Wionic does not claim ownership over Candidate Data. Candidate Data is owned by the Candidate to whom it relates. Wionic acts as an independent data controller for WIONIC Passport profile data, for usage and analytics data, and for data processed in the Verification Services, and as a data processor on behalf of the Customer for applications submitted to that Customer (including applications the Customer enters manually), subject to the Data Processing Agreement.
The Customer warrants and represents that: (a) it has all necessary rights, consents, and permissions to collect and process Candidate Data for the purposes for which it is using the Services; (b) its collection and use of Candidate Data complies with all applicable data protection laws; (c) it will use Candidate Data only for legitimate hiring purposes and will not discriminate against Candidates on the basis of any protected characteristic under applicable law; (d) where it enters a Candidate's data into the Services itself (for example, a manually created application), it has informed that Candidate of the processing and has a lawful basis for it.
The Customer shall not use Candidate Data obtained through the Services for any purpose other than evaluating that Candidate for employment with the Customer. The Customer shall not transfer, sell, licence, or otherwise share Candidate Data with any third party without the prior written consent of the Candidate.
Wionic shall implement reasonable, industry-standard administrative, technical, and organisational safeguards designed to protect the security, confidentiality, and integrity of Customer Data and Candidate Data. No method of transmission over the internet or of electronic storage is completely secure, and Wionic does not guarantee that Customer Data or Candidate Data will be free from unauthorised access, loss, or disclosure.
Customer Data is retained for as long as the Customer's account exists. Expiry or termination of a subscription does not delete the account. When the Customer deletes its account, Wionic deletes the Customer's user accounts (the account owner and every team member), cancels its subscription, closes its published jobs, and archives its company and records (jobs, pipelines, applications, evaluations, verification records, and associated files): the archived company is removed from the Services' public pages, is no longer accessible to the Customer, and is retained by Wionic as a closed record. The Customer may request deletion of the archived records by writing to legal@wionic.com, subject to any retention required by law. The Customer may request an export of Customer Data from legal@wionic.com before deleting its account; account deletion cannot be undone.
Wionic will not use Customer Data or Candidate Data to train machine learning models or artificial intelligence systems without the express written consent of the Customer or Candidate respectively.
Third-Party Infrastructure. The Services are hosted, stored, and delivered using Sub-Processors, including cloud hosting, database, file storage, email delivery, payment processing, caching, bot protection, and analytics providers, as listed in the Privacy Policy. Wionic's responsibility in relation to Sub-Processors is limited to: (a) selecting reputable providers; (b) configuring its use of their services with reasonable care; and (c) notifying affected parties and cooperating in accordance with Clause 6.9. To the maximum extent permitted by applicable law, Wionic shall not be liable for any Security Incident, outage, data loss, or other failure occurring within a Sub-Processor's own infrastructure or caused by an attack on a Sub-Processor, where such event is outside Wionic's reasonable control.
Security Incident Notification. If Wionic confirms a Security Incident affecting Customer Data, Wionic shall notify the affected Customer without undue delay and, where feasible, within seventy-two (72) hours of confirmation, and shall provide the information reasonably available to it about the nature of the incident, the data affected, and the measures taken. Where a Security Incident affects WIONIC Passport profile data, Wionic shall notify affected Candidates and any competent authority where required by applicable law. Notification of a Security Incident is not an acknowledgement of fault or liability by Wionic.
7. WIONIC Passport: Candidate-Specific Terms
WIONIC Passport is a free service available to individual job seekers aged eighteen (18) or over. Candidates may create a WIONIC Passport profile and use it to apply for positions posted by Customers on the Wionic platform. These Terms apply to Candidates as Users; where a provision refers to fees, a Subscription Plan, or the Customer's business, it applies to Candidates only where the context allows.
By creating a WIONIC Passport profile, a Candidate grants Wionic a limited, non-exclusive licence to store, process, and transmit the Candidate's profile data to Customers to whom the Candidate has applied, for the sole purpose of facilitating the hiring process.
A Candidate's profile is only made visible to Customers to whom the Candidate has actively submitted an application. Wionic does not make Candidate profiles searchable by Customers. When a Candidate applies, a copy of the profile as it stands at that moment (including the documents attached to the application) is shared with that Customer as part of the application.
Candidates may at any time: (a) update, correct, or amend their profile; (b) withdraw their application from a specific Customer's pipeline; (c) delete their account; (d) request a copy of their profile data by emailing privacy@wionic.com, which Wionic shall provide within thirty (30) days.
When a Candidate deletes their account, Wionic deletes the profile, including its experience, education, skills, references, documents, and disability information, immediately. Applications already submitted remain with the Customer as part of its hiring record: in-progress applications are withdrawn, and the identity fields of each application copy (name, contact details, identity number, date of birth, nationality, gender, and addresses) are removed. The professional details and documents submitted with the application, and the Customer's own evaluation notes, scores, and hiring decisions, are retained by the Customer under its own retention policies and applicable law.
Special category information. Religion and disability information are optional. A Candidate who chooses to provide them gives explicit consent to their processing for the purposes of the Candidate's profile and applications, and may withdraw that consent at any time by removing the information from their profile.
The Candidate is responsible for the accuracy and lawfulness of the information and documents they submit, and shall indemnify Wionic against any claim, loss, or expense arising from information or documents submitted by the Candidate that are false, misleading, or infringe the rights of a third party.
BECAUSE WIONIC PASSPORT IS PROVIDED FREE OF CHARGE, AND SUBJECT TO CLAUSE 11.3, WIONIC'S TOTAL AGGREGATE LIABILITY TO A CANDIDATE ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, INCLUDING ANY CLAIM ARISING FROM A SECURITY INCIDENT, SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (USD 100).
8. Intellectual Property
Wionic retains all Intellectual Property Rights in and to the Services, including all software, algorithms, designs, documentation, and improvements thereto. Nothing in these Terms transfers any Intellectual Property Rights in the Services to the Customer.
The Customer retains all Intellectual Property Rights in Customer Data. The Customer grants Wionic a limited licence to use Customer Data as necessary to provide the Services, including for displaying content to Authorised Users, generating analytics, and improving the Services, provided that Wionic does not share identifiable Customer Data with third parties except as set out in the Privacy Policy.
Any feedback, suggestions, or ideas provided by the Customer or its Authorised Users regarding the Services may be used by Wionic without restriction or obligation of any kind.
The Wionic name, logo, and all related product names and marks are trademarks of Jude Pvt Ltd. The Customer shall not use Wionic's trademarks without prior written consent, except as reasonably necessary to refer to the Services in a factually accurate manner.
9. Confidentiality
Each party agrees to hold the other party's Confidential Information in strict confidence and to use it only for the purposes of performing its obligations or exercising its rights under these Terms.
A party shall not disclose the other party's Confidential Information to any third party without prior written consent, except: (a) to its employees, contractors, or advisors who have a need to know such information and who are bound by confidentiality obligations at least as protective as those in these Terms; (b) as required by applicable law, regulation, or court order, provided that the disclosing party gives prompt written notice to the other party (to the extent permitted by law) and cooperates with the other party in seeking a protective order.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; (d) is received from a third party who is not subject to confidentiality obligations with respect to such information.
Confidentiality obligations under this Clause 9 shall survive termination or expiry of these Terms for a period of five (5) years.
10. Warranties and Representations
Wionic warrants that: (a) the Services will perform materially in accordance with the Documentation under normal use and circumstances; (b) Wionic has the right to grant the licences set out in these Terms; (c) to Wionic's knowledge, the Services do not infringe the Intellectual Property Rights of any third party.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EXCEPT AS EXPRESSLY SET OUT IN CLAUSE 10.1, WIONIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
Wionic does not warrant that: (a) the Services will be uninterrupted, error-free, or completely secure; (b) any errors or defects will be corrected; (c) the Services will meet all of the Customer's requirements or expectations.
The Customer warrants that: (a) it has the legal authority to enter into these Terms; (b) it will use the Services in compliance with all applicable laws and regulations; (c) it will not use the Services to facilitate any unlawful discrimination in employment; (d) all information provided to Wionic in connection with these Terms is accurate, complete, and not misleading.
11. Limitation of Liability
NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SUBJECT TO CLAUSE 11.3, WIONIC'S TOTAL AGGREGATE LIABILITY TO THE CUSTOMER ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, INCLUDING ANY CLAIM ARISING FROM A SECURITY INCIDENT, SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY THE CUSTOMER TO WIONIC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. WIONIC'S LIABILITY TO A CANDIDATE IS LIMITED AS SET OUT IN CLAUSE 7.8.
Nothing in these Terms shall limit or exclude either party's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be limited or excluded under applicable law.
Wionic shall not be liable for any failure or delay in performance of the Services to the extent caused by factors outside Wionic's reasonable control, including acts of God, war, civil unrest, terrorism, government action, internet service provider failures, natural disasters, failures or outages of hosting, database, storage, email, payment, or other Sub-Processor services, and malicious attacks (including denial-of-service attacks and attacks on Sub-Processors) that occur despite Wionic's reasonable safeguards. Wionic shall notify the Customer promptly upon becoming aware of such an event affecting its performance.
The Customer acknowledges that Wionic is not responsible for, and expressly disclaims all liability in relation to: (a) any employment decisions made by the Customer based on information obtained through the Services; (b) the accuracy, completeness, or truthfulness of Candidate Data; (c) any claims brought by Candidates against the Customer arising from the Customer's hiring process or employment decisions; (d) any third-party services or platforms that integrate with the Services; (e) any Security Incident resulting from the Customer's or its Authorised Users' failure to protect their credentials, devices, or API keys, or from data the Customer exports or downloads from the Services.
To the maximum extent permitted by applicable law, any claim arising out of or in connection with these Terms or the Services must be commenced within one (1) year after the cause of action arose, failing which the claim is permanently barred.
12. Term and Termination
These Terms shall commence on the Effective Date and shall continue for the initial subscription term selected by the Customer, and shall automatically renew for successive periods of the same duration unless either party provides written notice of non-renewal at least thirty (30) days prior to the end of the then-current term.
Either party may terminate these Terms immediately on written notice if the other party: (a) materially breaches these Terms and fails to remedy such breach within thirty (30) days of written notice specifying the breach; (b) becomes insolvent, makes an assignment for the benefit of creditors, or becomes subject to any proceeding under bankruptcy or insolvency law that is not dismissed within sixty (60) days; (c) ceases to carry on business.
Wionic may suspend or terminate the Customer's access to the Services immediately on written notice if: (a) the Customer fails to pay any undisputed fees when due and does not remedy such failure within fourteen (14) days of written notice; (b) Wionic reasonably believes that continued access poses a security risk or may cause harm to Wionic, its systems, or third parties; (c) Wionic is required to do so by applicable law.
Upon termination: (a) all licences granted to the Customer under these Terms shall immediately terminate; (b) the Customer shall immediately cease all use of the Services; (c) Customer Data is retained and deleted as set out in Clause 6.6; (d) any accrued payment obligations shall survive termination.
Clauses 6, 7.7, 7.8, 8, 9, 10, 11, 13, 14, 15, and 16 shall survive termination or expiry of these Terms.
13. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Maldives, without regard to its conflict of law provisions.
In the event of any dispute arising out of or relating to these Terms or the Services, the parties shall first attempt to resolve the dispute through good-faith negotiations for a period of thirty (30) days from the date on which one party notifies the other of the dispute.
If the dispute is not resolved within the negotiation period, either party may submit the dispute to mediation administered by the Maldives International Arbitration Centre (MIAC) or such other mediator as the parties may agree in writing. The costs of mediation shall be shared equally between the parties.
If mediation fails to resolve the dispute within sixty (60) days, either party may submit the dispute to binding arbitration administered by the MIAC under its Arbitration Rules. The arbitration shall be conducted in English, in Malé, Republic of Maldives. The arbitral award shall be final and binding on the parties.
Nothing in this Clause 13 prevents either party from seeking emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY BRING OR PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION AGAINST THE OTHER.
Nothing in this Clause 13 limits any right a Candidate or other individual has under mandatory consumer or data protection law in the country where they live, including the right to lodge a complaint with a data protection authority.
14. General Provisions
These Terms, together with the Privacy Policy, Data Processing Agreement, and any applicable Order Form or Statement of Work, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, representations, and understandings.
Wionic reserves the right to amend these Terms at any time. Where an amendment is material, Wionic shall provide at least thirty (30) days' written notice before the amendment takes effect. The Customer's continued use of the Services following the effective date of any amendment constitutes acceptance of the amended Terms.
The Customer may not assign, transfer, or delegate any of its rights or obligations under these Terms without Wionic's prior written consent. Wionic may assign or transfer its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of its assets, provided that Wionic provides written notice to the Customer.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall continue in full force and effect.
No waiver of any provision of these Terms shall be effective unless in writing. No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.
Nothing in these Terms shall create a partnership, joint venture, employment, or agency relationship between the parties.
All notices under these Terms shall be in writing and delivered by email with read receipt requested, or by registered post. Notices to Wionic shall be addressed to legal@wionic.com.
The parties agree that this agreement may be executed electronically and that electronic signatures shall be valid and binding.
15. Indemnification
The Customer shall defend, indemnify, and hold harmless Wionic, its officers, directors, employees, and agents from and against any claim, demand, fine, loss, damage, cost, or expense (including reasonable legal fees) brought by a third party or a regulator arising out of or relating to: (a) Customer Data, or Candidate Data collected, entered, or used by the Customer, including manually created applications; (b) the Customer's hiring practices or employment decisions, including any allegation of unlawful discrimination; (c) the Customer's breach of Clauses 3.3, 3.4, 6.3, or 6.4 or of applicable data protection law; (d) the acts or omissions of the Customer's Authorised Users.
Candidates indemnify Wionic as set out in Clause 7.7.
The indemnified party shall give prompt written notice of the claim, allow the indemnifying party to control its defence and settlement (provided that no settlement imposing any obligation or admission on Wionic may be made without Wionic's prior written consent), and provide reasonable cooperation at the indemnifying party's expense.
16. Verification Services
Wionic offers paid Verification Services: (a) applicant verification, in which Wionic reviews information and documents associated with a specific job application at the Customer's request; and (b) company verification, in which Wionic reviews supporting documents submitted by a Customer about its organisation.
A verification is a review of the documents and information made available to Wionic at the time of review, carried out with reasonable care. It is not an audit, a background check, or a guarantee of any person's identity, qualifications, employment history, character, or suitability, or of any organisation's legal status or conduct. Wionic does not independently confirm documents with their issuing authorities unless it expressly states otherwise in the verification result.
The Customer remains solely responsible for its hiring decisions and shall not rely on a verification result as the sole basis for any employment, contractual, or immigration decision. Wionic may ask for further documents, and may decline or reject a verification at its discretion.
SUBJECT TO CLAUSE 11.3, WIONIC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY VERIFICATION SHALL NOT EXCEED THE FEE PAID FOR THAT VERIFICATION.
Verification fees are payable in advance and are non-refundable once review has begun, except as required by applicable law.
